Terms & Conditions:

Effective Date: December 5, 2025

These Terms and Conditions ("Terms") govern the provision of the "30-Second Lead Connector
System" and related services ("Services") by Automate.Sydney ("Service Provider," "we," "us") to the client ("Client," "you").

1. Agreement Structure and Term

1.1. Agreement Acceptance


By paying the Initial Setup Fee and/or the Recurring Monthly Fee, the Client agrees to be bound by these Terms, which constitute the entire agreement between the parties regarding the Services.

1.2. Service Term


The agreement begins on the date the Initial Setup Fee is paid and continues on a month-to-month basis upon payment of the Recurring Monthly Fee, until terminated as set forth in Section 7.

2. Service Description and Scope

2.1. The 30-Second Lead Connector System
The Services include the design, configuration, integration, and ongoing maintenance of a custom automated lead management workflow designed to route inbound sales leads to the Client's designated team member(s) within a guaranteed timeframe.

2.2. Scope of Work (Initial Setup Fee)

The initial $2,500 AUD setup fee covers the following one-time services:

a. System Configuration: Custom integration of the lead capture form with the Client’s communication infrastructure (SMS, email, or specified CRM).

b. Lead Routing Logic: Creation of custom automation rules for instant notification and lead assignment.

c. Quality Assurance: Full deployment testing to verify the 30-second speed guarantee.

d. Staff Training: Provision of necessary documentation and a 1-hour training session for designated Client staff.

2.3. Exclusions

The Services explicitly exclude the development, hosting, or maintenance of the Client’s primary website or any third-party systems, except for the specific points of integration required for the 30-Second Lead Connector System functionality.

3. Fees and Payment

3.1. Initial Setup Fee

A one-time, non-refundable Initial Setup Fee of $2,500 AUD is required prior to the commencement of any service delivery. This fee is for the custom build and integration (see
Section 2.2).

3.2. Recurring Monthly Fee

The Client agrees to pay the Recurring Monthly Fee of $299 AUD (or the agreed-upon tier) on a rolling monthly basis. This fee covers:

a. Hosting & Uptime: Hosting of the automation environment and guaranteed 24/7 system uptime.
 
b. Maintenance & Updates: Proactive monitoring, required API/system updates, and necessary patches to ensure continuous functionality.

c. Technical Support: Priority technical support for any system failures or operational issues.

3.3. Payment Terms

All recurring payments are due on the same day each month. Failure to pay within seven (7) days of the due date may result in the temporary suspension of the Services until payment is received.

4. Performance Guarantee and Liability

4.1. 30-Second Speed Guarantee

The Service Provider guarantees that, under normal operating conditions, an incoming lead submission will trigger a notification to the Client's designated recipient within thirty (30) seconds.

4.2. Guarantee Limitation

The 30-Second Speed Guarantee is contingent upon:

 

a. The Client’s internal communication infrastructure (e.g., phone network, email provider) being fully operational.

 

b. The Client providing accurate and updated contact information for lead routing.

 

c. The Service Provider's liability under this guarantee is strictly limited to correcting the failure as quickly as possible.

4.3. Limitation of Liability

The Service Provider is not responsible for any financial losses incurred by the Client, including but not limited to lost sales, lost leads, or loss of profits, resulting from system downtime, failure of third-party systems, or Client error. Our total liability shall not exceed the total fees paid by the Client to the Service Provider in the three (3) months preceding the claim.

5. Client Obligations

The Client agrees to:
 
a. Provide all necessary access, credentials, and information required for the Service Provider to perform the initial integration and ongoing maintenance.
 
b. Designate a single point of contact responsible for system implementation and communication.
 
c. Use the Services in compliance with all local, state, and federal laws, including privacy and anti-spam regulations.

6. Confidentiality


Both parties agree to treat all business information and intellectual property of the other party as confidential and shall not disclose such information to any third party, except as required for the execution of these Terms or by law.

7. Termination

7.1. Termination by Client

The Client may terminate the monthly Services at any time by providing thirty (30) days' written notice to the Service Provider. The Client will remain responsible for the Recurring Monthly Fee for the final thirty-day period. The Initial Setup Fee is non-refundable.

7.2. Termination by Service Provider

The Service Provider may terminate this Agreement immediately if the Client breaches any material term of this Agreement (including failure to pay fees) or misuses the system.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia.

By proceeding with payment, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
